conVISUAL: Issuing Price of 6.10 EUR

conVISUAL, the first company from the telecommunications and media industry to go public in 2006, has planned its IPO for the 13 January. conVISUAL will be quoted at the Open Market of the stock exchange, in Frankfurt, according to the Entry Standard. The shares from a rights issue of old shareholders were offered to institutional investors from Germany and abroad, in the form of a private placement. The issuing share price is 6.10 EUR. The capital increase earns the company 5.12 m EUR liquid assets. The capital stock rises to 1.83 m shares. After the IPO, approx. 57% of shares (before green-shoe) are in the free float. conVISUAL intends to use the issue proceeds for the extension of sales capacities, the purchase of further content licenses and for acquisitions to complete the product portfolio and to facilitate the entry into new markets.

Founded in October 2000, the Oberhausen-based company is managed by Dr. Thomas Wolf (CEO) and João Gonzaga (CTO) and has currently around 50 employees. In 2004 conVISUAL had turnover of 6.4 m Euros. In 2005 conVISUAL had turnover exceeding its plan of 9 m Euros, The company aims at maintaining the break-even status, already achieved in some months of 2005, as from the middle of 2006. conVISUAL expects to achieve another significant increase in turnover in 2006.

SMS and MMS Services are turnover guarantors
conVISUAL’s turnover is made up of various categories of revenue including transport, billing and management of SMS and MMS messages, mobile applications and content license business. conVISUAL maintains international customer relations to media and telecommunication companies in Europe, Asia and the USA. Its clientele includes leading, international wireless operators, end device manufacturers, branded companies and media companies from TV, publishing houses and production companies. Among the most important customers are T-Mobile, Vodafone D2, ProSiebenSat.1, Ericsson, Jamba, Turkcell and SingTel.

Major orders from the ProSiebenSat.1 group as well as the commercialisation of the short code "2-0-0-6", in the soccer year 2006, will mainly contribute to further growth and a turnover increase of an amount in the mid-single digit range of millions of Euro. Furthermore, conVISUAL registers further orders from abroad, in addition to the, recently announced, contracts concluded with German customers. Dr. Thomas Wolf, chairman of the board and company founder, says: “We mainly profit from the stronger demand from the Asian continent.”

High demand for Entertainment
The growth rates, predicted by Juniper Research, for example, are positive. In Germany, the MMS turnover is expected to increase by 82 per cent to 673 m €, in 2008. According to Juniper, the global MMS turnover will increase up to 8,6 billion € by 2008, with an annual growth rate of 65 per cent. The turnover of Mobile TV Services is said to rise to 7.6 billion USD, in 2010. The turnover potential of Mobile Music Services is estimated at 9.3 billion USD, in 2009.
